These Terms & Conditions apply to trade (B2B) customers only and do not offer consumer protections under UK consumer law. By placing an order, you confirm that you are acting in a business capacity. These terms set out the basis on which we supply our products and services. Please read them carefully.
Orders can be placed via phone, fax or online (recommended). Online orders receive priority. All orders are subject to acceptance. We aim to dispatch within 24 hours where possible. Delays may occur due to stock availability or account issues.
New trade customers may be required to provide references or pay upfront. Credit accounts can be opened subject to approval and completion of our trade application form.
All prices are exclusive of VAT and carriage. Prices are those prevailing at the time of order and may change without notice.
Handling charges apply to orders under £100 (ex VAT). Carriage-paid thresholds vary by location, e.g. £200 (Mainland UK), £1,000 (Republic of Ireland). Export terms are Ex-Works. Contact us for full details.
Payment is due within 30 days of invoice unless otherwise agreed. Late payments incur interest and may result in suspended deliveries. Payment can be made by bank transfer. Cheques are no longer accepted.
Invoices are issued weekly. Queries should be raised promptly with our Accounts Department. Statements are sent monthly.
Goods remain our property until paid for in full. Risk passes to the buyer upon delivery. We reserve the right to reclaim goods if payment is not made.
Any delivery issues — including non-delivery, shortages, or damaged packages — must be reported in writing within 3 working days of receipt. Sign any visibly damaged deliveries as 'Damaged'. The term 'Unexamined' is not accepted for claims.
Orders constitute an offer and are only accepted when confirmed by us. These terms override any terms from the buyer unless agreed in writing. Any disputes will be governed by English law.
We shall not be liable for any indirect, incidental, or consequential loss or damage, including loss of profit, revenue, or goodwill. Liability for defective goods is limited strictly to the repair or replacement of those goods, at our discretion. Nothing in these terms limits liability for death or personal injury caused by our negligence or fraud.
Goods remain our property until full payment is received. We may reclaim unpaid goods and enter the buyer's premises to do so. Resale is permitted only in the ordinary course of business and does not transfer title until our payment is received.
We shall not be liable for any failure or delay in performance due to events beyond our reasonable control, including but not limited to natural disasters, transport disruption, government restrictions, or supplier failures.
We do not operate on UK public or bank holidays. Orders placed during these times will be processed on the next working day.
We reserve the right to impose minimum order values or quantities per style. These thresholds will be clearly communicated and may vary depending on promotional terms or product categories.
All logos, images, and product descriptions provided remain the intellectual property of Wholesale Shoes Limited. They may only be used by customers for the marketing and resale of our products and must not be altered or misrepresented.
Our products may not be resold on third-party online marketplaces such as Amazon, eBay, or similar platforms without our explicit written permission. Breach of this condition may result in account suspension or termination.
In the event of a disagreement, both parties agree to attempt resolution through negotiation or mediation before pursuing legal proceedings. This does not limit your statutory rights.
We reserve the right to terminate or suspend trade accounts without notice if payment terms are breached, account misuse occurs, or if these Terms & Conditions are violated. Any outstanding payments will become immediately due.
We send two types of emails:
We may send marketing emails about our products and services to all trade account holders, provided that every message includes a clear unsubscribe link. We always identify ourselves in marketing emails, and we do not include promotional content in transactional emails such as order confirmations, invoices or essential account notices.
