Terms and Conditions

Important Information for Wholesale Customers

These Terms & Conditions apply to trade (B2B) customers only and do not offer consumer protections under UK consumer law. By placing an order, you confirm that you are acting in a business capacity. These terms set out the basis on which we supply our products and services. Please read them carefully.

1. Orders & Execution

Orders can be placed via phone, fax or online (recommended). Online orders receive priority. All orders are subject to acceptance. We aim to dispatch within 24 hours where possible. Delays may occur due to stock availability or account issues.

2. New Customers

New trade customers may be required to provide references or pay upfront. Credit accounts can be opened subject to approval and completion of our trade application form.

3. Prices

All prices are exclusive of VAT and carriage. Prices are those prevailing at the time of order and may change without notice.

4. Freight & Handling

Handling charges apply to orders under £100 (ex VAT). Carriage-paid thresholds vary by location, e.g. £200 (Mainland UK), £1,000 (Republic of Ireland). Export terms are Ex-Works. Contact us for full details.

5. Payment Terms

Payment is due within 30 days of invoice unless otherwise agreed. Late payments incur interest and may result in suspended deliveries. Payment can be made by bank transfer. Cheques are no longer accepted.

6. Invoices & Queries

Invoices are issued weekly. Queries should be raised promptly with our Accounts Department. Statements are sent monthly.

7. Title & Risk

Goods remain our property until paid for in full. Risk passes to the buyer upon delivery. We reserve the right to reclaim goods if payment is not made.

8. Delivery Issues

Any delivery issues — including non-delivery, shortages, or damaged packages — must be reported in writing within 3 working days of receipt. Sign any visibly damaged deliveries as 'Damaged'. The term 'Unexamined' is not accepted for claims.

9. Returns Policy
  • All returns must be authorised in advance. Please contact us to request a returns authorisation number before sending anything back.
  • We do not accept non-faulty returns for change of mind or overstock.
  • Faulty items must be reported within 30 days of delivery and will be assessed on a case-by-case basis.
  • We only accept returns for goods that we supplied and are clearly marked as ours.
  • Worn goods are non-refundable unless clearly faulty — please inspect items before resale.
  • Faulty returns must be clean and hygienic. Soiled or dirty goods will not be accepted due to health and safety concerns.
10. Contract Terms

Orders constitute an offer and are only accepted when confirmed by us. These terms override any terms from the buyer unless agreed in writing. Any disputes will be governed by English law.

11. Liability & Warranty

We shall not be liable for any indirect, incidental, or consequential loss or damage, including loss of profit, revenue, or goodwill. Liability for defective goods is limited strictly to the repair or replacement of those goods, at our discretion. Nothing in these terms limits liability for death or personal injury caused by our negligence or fraud.

12. Retention of Title

Goods remain our property until full payment is received. We may reclaim unpaid goods and enter the buyer's premises to do so. Resale is permitted only in the ordinary course of business and does not transfer title until our payment is received.

13. Force Majeure

We shall not be liable for any failure or delay in performance due to events beyond our reasonable control, including but not limited to natural disasters, transport disruption, government restrictions, or supplier failures.

14. Weekly Stock Bulletin

Our weekly bulletin is sent to all customers each Thursday with stock updates. Any style not listed should be considered withdrawn or out of season.

15. Opening Hours

Order Department: Mon–Thu 08:00–17:30, Fri until 16:45. General Office: Mon–Thu 08:45–17:30, Fri until 16:45.

17. Minimum Order Policy

We reserve the right to impose minimum order values or quantities per style. These thresholds will be clearly communicated and may vary depending on promotional terms or product categories.

18. Intellectual Property

All logos, images, and product descriptions provided remain the intellectual property of Wholesale Shoes Limited. They may only be used by customers for the marketing and resale of our products and must not be altered or misrepresented.

19. Resale Restrictions

Our products may not be resold on third-party online marketplaces such as Amazon, eBay, or similar platforms without our explicit written permission. Breach of this condition may result in account suspension or termination.

20. Dispute Resolution

In the event of a disagreement, both parties agree to attempt resolution through negotiation or mediation before pursuing legal proceedings. This does not limit your statutory rights.

21. Termination of Trade Account

We reserve the right to terminate or suspend trade accounts without notice if payment terms are breached, account misuse occurs, or if these Terms & Conditions are violated. Any outstanding payments will become immediately due.
